Integer.pl SA – Owner of the largest parcel network in Europe and one of the largest courier companies in Poland

The advisory for Integer.pl SA in the transaction involving:

• an acquisition by a consortium of Advent International and Rafał Brzoska (the Consortium) of approximately 70% publicly traded shares of Integer TPLN 266 M (30% already owned by Rafał Brzoska) and delisting of the Company,
• an acquisition of 42 % publicly traded shares of Inpost SA PLN 53 M (58% already owned by Integer) and delisting of Inpost,
• approximately PLN 500 M new capital commitment to Integer Group, and refinancing of approximately PLN 240 M of the total Company’s debt including the current bond program.

As a part of the transaction the current PE investors of the APM network operator – Easypack Sp. z o.o. (Pinebridge, Franklin Templeton, PZU) exchanged their shares into the shares of Integer.pl SA.
